Terms of Service

1. Agreement

By signing up for ABC Marketing, you agree to these Terms of Service ("ToS") and the related Statement of Work ("SOW") generated at checkout. ABC Marketing LLC is a Utah limited liability company.

2. Services and commitment

We provide the marketing services you select in your bundle. Service begins on the day your first payment clears.

2.1. The initial commitment is 90 days. After 90 days, the engagement continues month-to-month until cancelled.

2.5. If you cancel during the initial commitment period, you remain responsible for completing the commitment — your card will continue to be charged on the 1st of each month until the 90 days are complete. There is no separate termination fee.

3. Billing

3.1. Monthly subscription is charged on the 1st of each month via Stripe.

3.2. Performance compensation, when earned, is invoiced on the 5th of the following month after we share the report.

3.3. If a monthly payment fails, service is paused on day 3 and the engagement is auto-cancelled on day 7 if the balance is not cured. You can resume any time before day 7 by updating your card.

4. Your work is yours

Every asset we produce for you — copy, creative, ad accounts, landing pages, email lists — is owned by you. We do not hostage-take. On cancellation you can request "take everything" and we hand over native files, account access, and a written transition plan within 7 days.

5. Performance comp

Performance compensation is tier-based and applies only to attributable lift above your locked baseline. Baselines are computed from the 90 days before service began. The tier ladder is published in your SOW and at /perf-comp.

6. Confidentiality

Both parties agree to keep non-public business information confidential.

11. Governing law

These Terms are governed by the laws of the State of Utah. Disputes are resolved by binding arbitration before JAMS in Salt Lake City. v1.1 effective April 1, 2026.
